This Confidentiality and Non-Disclosure Agreement Policy (“Policy”) governs the handling of all confidential information exchanged between Ayzen Private Limited, operating as Ayzen Creatives, and its clients during the provision of services. This Policy forms part of the Terms and Conditions.
Confidential Information includes but is not limited to:
Confidential Information excludes information that: (a) is publicly available through no fault of the Company; (b) was known to the Company prior to disclosure; (c) is received from a third party without restriction; or (d) must be disclosed by law or court order.
Ayzen Private Limited commits to:
Access to Confidential Information is limited to personnel directly involved in the Client’s project. All personnel are bound by equivalent confidentiality obligations that survive termination of their employment or engagement.
By default, the Company may display completed work in its portfolio. Clients requiring full confidentiality must notify the Company in writing at order placement. Confirmed confidentiality requests prevent any showcase, sharing, or public reference to the work.
Clients may request a formal, legally binding, project-specific NDA by contacting info@ayzencreatives.com. The Company will sign mutual or one-way NDAs as appropriate. Custom NDAs must be agreed upon before the relevant project commences.
Confidentiality obligations remain in effect for three (3) years from the last transaction, or longer as agreed in a formal NDA.
This Policy complements the Company’s Data Processing Agreement and Privacy Policy. Where Confidential Information constitutes personal data under the GDPR or applicable U.S. privacy laws, applicable data protection obligations apply concurrently.
Both Parties acknowledge that breach of confidentiality may cause irreparable harm not adequately compensated by money. Either Party may seek equitable relief (including injunctions) in addition to any other remedies available under applicable law.
For EU-based Clients: GDPR applies to confidential personal data. For USA-based Clients: applicable state trade secret and privacy laws apply. The governing law of the principal service agreement applies to all other matters.
